Terms and Conditions

1. Acceptance of These Terms

By creating an account, registering a practice, or otherwise accessing or using MyDocTalk (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are accepting on behalf of a medical or dental practice or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.

2. Description of the Service

MyDocTalk is a communication and referral-management platform that allows healthcare providers and their staff to exchange referrals, messages, files, and related practice information. The Service is a communication tool only: it does not provide medical advice, diagnosis, or treatment, and it is not a substitute for professional medical judgment.

3. Accounts and Registration

You must provide accurate, current, and complete information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. Accounts are for use by a single individual; practice administrators may invite additional users, and are responsible for the access they grant.

4. Acceptable Use

You agree not to: (a) use the Service in violation of any applicable law or regulation; (b) upload content that is unlawful, infringing, or harmful; (c) attempt to gain unauthorized access to the Service or its systems; (d) interfere with or disrupt the integrity or performance of the Service; (e) share, sell, or transfer your account; or (f) use the Service to send unsolicited communications.

5. Protected Health Information

The Service may be used to transmit protected health information ("PHI") as defined under HIPAA. You agree to use the Service in compliance with HIPAA and all applicable privacy laws, and to limit PHI shared through the Service to the minimum necessary for the referral or communication at hand. Where required, use of the Service for PHI is subject to a separate Business Associate Agreement between your organization and MyDocTalk.

6. Subscriptions, Trials, and Fees

Certain features require a paid subscription. Trial periods, plan pricing, and billing intervals are presented at signup or in your practice settings. Subscriptions renew automatically until canceled. Fees are non-refundable except where required by law. We may change pricing with reasonable advance notice; changes apply at your next renewal.

7. Intellectual Property

The Service, including its software, design, and content (excluding content you upload), is owned by MyDocTalk and its licensors and is protected by intellectual-property laws. You retain ownership of the content you upload and grant us a limited license to store, process, and transmit it solely to provide the Service.

8. Third-Party Services

The Service integrates third-party providers (for example, payment processing and email delivery). Your use of those features is also subject to the applicable third party's terms, and we are not responsible for third-party services.

9. Termination

You may stop using the Service or cancel your subscription at any time. We may suspend or terminate access for violation of these Terms, non-payment, or risk to the Service or other users. Upon termination we will make reasonable efforts to allow export of your data for a limited period, after which it may be deleted, subject to legal retention requirements.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYDOCTALK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless MyDocTalk and its officers, employees, and agents from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

13. Changes to the Service or These Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in Utah, and you consent to their jurisdiction.
